Ryan W. Coffield

Ryan is a Consultant Solicitor & US Attorney with MBM’s Corporate and US teams.

Ryan brings a transatlantic perspective to his work, drawing on nearly two decades of experience as a US attorney & partner and now also as a qualified solicitor in Scotland. His work focuses on mergers and acquisitions, private equity, securities offerings, and general corporate counsel, with particular depth in US tax-advantaged transaction structuring. He routinely serves as lead US counsel on mergers, asset purchases, equity transactions, syndicated real estate offerings, private securities offerings, and joint ventures for clients across a wide range of industries, both domestically and internationally. Recent transactions including the sales of a US national medical technology company and US investment group, and a private equity investment into a regional US agricultural business.

Ryan holds a JD and LL.M. in Taxation from Washington University in St. Louis School of Law and an undergraduate degree in Economics from the University of North Carolina at Chapel Hill. His work has been recognised by a number of leading legal and business publications in the US. His experience in US corporate and pass-through taxation allows him to bring a distinctive lens to deal work that goes beyond purely legal advice, helping clients design transaction structures that achieve their broader commercial and financial objectives.
